Rules: Popular's Sigue Tu Ritmo Challenge Video Contest  (the "Rules")

Popular's Sigue Tu Ritmo Challenge Video Contest (the "Contest") begins on June 2, 2025, and ends on August 6, 2025. The Contest will be divided into three (3) stages:

1. First Stage: Invitation and Collection of Videos (June 2 to June 23, 2025)
2. Second Stage: Voting (June 24 to July 28, 2025)
3. Third Stage: Selection of the Winner (July 29 to August 6, 2025)

 The Contest is promoted by Popular, Inc. ("Popular"), whose contact information is as follows:

Any natural person who is a legal resident of Puerto Rico and is eighteen (18) years of age or older is eligible to participate in the Contest. Employees of Popular and its subsidiaries and/or affiliates and their respective advertising, promotions and public relations agencies are not eligible to participate in the Contest. 

The Contest requires that participants record and submit to Popular a video interpreting the  Seguimos tu Ritmo music, with their own musical instruments, voice and/or objects.

During the Invitation and Collection of Video period, participants will be required to log in to SigueTuRitmoChallenge.com (the "Contest Portal") to register and submit their video. Each participant may register only once (1) and submit a maximum of two (2) videos with their registration, although only one (1) video can be a winner. You may only register one (1) time. You may not attempt to violate these Rules by registering more than one (1) time by using different emails, identities, or computers. Entries for the First Stage of the Contest will be accepted until 11:59 pm on June 23, 2025. 

1. VIDEO REQUIREMENTS. Each video submitted for this Contest must meet the following requirements:
   
   1. Each participant must appear in the video, individually or in groups, performing the music Seguimos tu Ritmo, with their own musical instruments, voice and/or objects.
   2. The video must meet the following specifications:
           - Color video
           - Vertical orientation
           - Minimum duration of 15 seconds and a maximum of 30 seconds
           - Maximum weight of 60 MB and minimum resolution of 720p
   3. The video must be of the participant's original creation and the participant must own all copyrights to it.
   4. The video may not have been previously published in any other media (including, but not limited to, print, television, press, digital, and social media).
   5. The video must not contain content that could be considered abusive, threatening, criminal, defamatory, scandalous, illegal, obscene or vulgar.
   6. The video must not violate any rights of any third party (including, but not limited to, copyrights, trademark rights, privacy rights, and rights of one's own image).
   7. If the video contains any person's image, that person must have consented in writing to Popular's use of his or her image in the video pursuant to the license granted in Section 6.A of these Rules.
2. REPRESENTATIONS AND WARRANTIES; INDEMNITY. By registering and submitting your video to participate in the Contest, each participant declares, represents, and warrants that the video submitted fully complies with the requirements of Section 6.A. In addition, each participant agrees to indemnify, hold harmless and defend Popular, its affiliates and/or subsidiaries against any liability and claims (including, but not limited to, claims by third parties) that may arise in connection with participant's failure to comply with the requirements of subsections 6.A.

3. GRANT OF LICENSE. By registering and submitting their video to participate in the Contest, each participant grants Popular an exclusive, perpetual, irrevocable, fully sublicensable, royalty-free license to use, reproduce and prepare derivative works of, distribute, and publicly display each submitted video, through any media, anywhere in the world, for any purpose whatsoever (including,  but not limited to, for commercial, mercantile, or advertising purposes), without notice, consent or compensation of any kind.

4. CONSENT TO USE OF NAME AND BIOGRAPHICAL INFORMATION. By registering and submitting their video to participate in the Contest, each participant consents and grants Popular, its affiliates and/or subsidiaries and their advertising, promotions and public relations agencies, the irrevocable right to use their name and biographical information for any purpose related to the Contest (including, but not limited to, for commercial, mercantile or advertising purposes) through any media, anywhere in the world and for an unlimited time, without notice, consent or compensation of any kind.

During the Voting Period, a jury selected by Popular (the "Jury") will select five (5) finalist videos (the "Finalists"). The decision of the Jury will be final, ensuring that they meet the requirements established in Section 6.A. The (5) videos of the Finalists will be published on Popular's official social networks, on Facebook and Instagram, so that the public can vote for their favorite videos as follows: (a) The (5) videos will be uploaded individually. (b) The public will be able to vote through positive reactions and comments on their preferred videos. Regarding comments, it will be valid for the same person to comment multiple times on the video. Comments that could be considered negative, abusive, threatening, criminal, defamatory, scandalous, illegal, obscene, or vulgar will not be valid.

During the Winner Selection period, one (1) winner will be selected from among the Finalists. The final score will be determined as follows: sum of positive reactions and comments received for each video.

1. AWARDS. One (1) winner will be selected.
   
   1. The prize for the winner will consist of: One (1) ATH® gift card valued at $1,000. The prize is non-transferable and cannot be substituted in whole or in part. It will only be awarded to the participant who registered for the Contest. The winner will be entirely responsible for reporting and paying any applicable federal, state, and/or local taxes related to the acceptance and receipt of his/her prize, as well as any other related costs.

The winner will be notified by phone call and/or email on August 7, 2025. The winner must respond with their acceptance of the prize within 30 days of the notification. Popular will coordinate the delivery of the prize with the winner on or before September 5, 2025, based on notification by call and/or email. In the event that the selected winner is disqualified or cannot be contacted on or before September 5, 2025, Popular reserves the right to select a new winner from among the remaining Finalists following the procedure provided in Section 8. Without prejudice to the generality of the above, Popular may deliver the prize through a delivery service, in which case the address will be coordinated directly with the winner. If necessary, the participant must accept any reasonable delay in notifying the winner and delivering the prize. To receive the prize, the winner must submit the following documentation:

1. Send the original video to Popular by email, if requested by Popular.
2. Provide any information necessary to complete and file any tax information return, if applicable.
3. Present a copy of a valid driver's license or other valid photo ID.
4. Sign a Certification of Eligibility and Release of Liability.

Popular reserves the right to evaluate each participant to determine their eligibility to participate in the Contest and their compliance with these Rules and any applicable requirements. Popular may disqualify any participant, at any time, for failing to comply with these Rules and any applicable requirements, including after the participant has been selected as a finalist or winner. If a participant is disqualified after he or she has been selected as a finalist or winner, the Jury and Judges may, but shall not be obligated to, select an alternate Finalist or winner, as applicable. Any attempt to violate any of these Rules or to provide false information will be prosecuted in accordance with applicable laws.

Popular, its subsidiaries and/or affiliates and their respective advertising, public relations and promotions agencies are not responsible for any damage or loss, direct or indirect, caused to the participants, winners, family members or any person or property related to them as a result of participation in this Contest or the use and enjoyment of their prize. Any Popular obligation in relation to the winners will cease and will be fully satisfied upon delivery of the prize.

 Information obtained during the Contest to enter and after the Contest to claim any prize will be subject to Popular's Privacy Policy, available at https://www.popular.com/en/privacy/.

The Contest is not sponsored, endorsed, administered by, or associated with Facebook, Inc., or Instagram, Inc. Participants release Facebook, Inc., and Instagram, Inc., from any liability related to the Contest.

This Contest is subject to all applicable laws and regulations of the Commonwealth of Puerto Rico and the United States of America ("Applicable Laws"). Popular reserves the right to suspend or cancel the Contest; or modify these Rules, their terms and conditions or the awards announced in accordance with Applicable Laws.

Participation in the Contest implies full acceptance of these Rules. The Contest Rules will be available in SigueTuRitmoChallenge.com.
