Third-Party Mobile Wallet Service Terms and Conditions

These Third-Party Mobile Wallet Terms and Conditions (these “Terms and Conditions”) apply when you add your eligible Banco Popular de Puerto Rico Credit or Debit Card ("Card") to a third-party that stores virtual versions of cards for making transactions electronically without presentment of the physical card, often called a wallet, e-wallet or digital wallet ("Wallet"), for which the Bank (as defined below) has enabled the connection to a provider (“Wallet Provider”), using a mobile phone, tablet, watch or other device (“Device”) that supports the Wallet. The words "you" and "your" refer to the cardholder and the words “Bank”, “we”, “us”, “our” or “BPPR” refer to Banco Popular de Puerto Rico as the issuer of the Card. In addition to these Terms and Conditions, you will continue to be subject to the applicable cardholder agreements that you have with BPPR for your Card (“Account Terms”).

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ADDING OR USING YOUR CARD IN A WALLET, BECAUSE BY DOING SO, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS AND CONDITIONS. THESE TERMS AND CONDITIONS REPLACE ANY OTHER TERMS AND CONDITIONS THAT YOU HAVE PREVIOUSLY AGREED TO WITH RESPECT TO ACESS TO, AND THE USE OF, YOUR CARD THROUGH A WALLET.

  1. Eligibility/Provision
    The Wallet is available for the purpose of purchasing goods and services or for other transactions where the Wallet is accepted, which may include physical locations, e-commerce, in-app purchases. The Wallet may not be accepted in all locations where your Card is accepted, and all Cards included in the Wallet may not be eligible to be used for all functionalities of the Wallet. To add your Card to a Wallet, you must register your Card with the Wallet by adding ("provisioning") your Card to the Wallet. You agree to allow BPPR to share your card information with the Wallet provider in order to provision the card to the Wallet. You are required to complete this provisioning process for each Wallet you use. You may need to take additional steps to authenticate yourself before adding the Card to the Wallet. This may include providing additional information or biometric information. Once the Card is provisioned, BPPR may add a unique numerical identifier of your card number ("Token") to your Wallet to enable you to transact through your Wallet. Some Wallets may use your fingerprint, face map, or any other biometric data to recognize and authenticate your identity or authorize your transactions ("Biometric Instrument"). You understand that we do not provide the biometric technology, and that we make no representations or warranties about the security of the biometric technology or whether it will work as the Digital Wallet represents. You understand that by using the Biometric Instrument in your Wallet at the point of sale, you authorize a transaction on your card.

    Wallets can only be used with a compatible device as determined by the Wallet Provider for that Wallet (“Eligible Device”). Due to the manner in which a Wallet operates, you may need to present your Eligible Device at a merchant when you return an item purchased using that Wallet on such Eligible Device. Devices modified contrary to the manufacturer’s software or hardware guidelines, including by disabling hardware or software controls, sometimes referred to as “jailbreaking”, are not Eligible Devices. You acknowledge that the use of a modified device to use your Card in connection with a Wallet is expressly prohibited, constitutes a violation of the Terms and Conditions, and is grounds for us to deny your access to your Cards through that Wallet. We do not recommend, endorse or make any representation or warranty of any kind regarding the performance or operation of your Eligible Device. You are responsible for the selection of an Eligible Device and for all issues relating to the operation, performance and costs associated with such Eligible Device.
  2. Adding your BPPR Card
    Your Card may be added to an eligible Wallet by following the instructions of the Wallet Provider. Only Cards that we indicate are eligible can be added to a Wallet. We will determine, in our sole discretion, which Cards are eligible for use through a Wallet. You may not add a Card to a Wallet or use a Card in a Wallet if at any time: (i) your Card or related Card account is not in good standing; (ii) your Card has been cancelled or suspended; (iii) we cannot authenticate the Card in accordance with our procedures; (iv) we suspect there may be fraud in connection with your Card or use of your Card; or (v) we have suspended or terminated your Card’s eligibility for use with a Wallet. By selecting an added Card and placing your supported Device near a merchant's contactless-enabled point-of-sale terminal or reader or by using a Card for an in-app or a website purchase, you are authorizing the payment for the applicable merchant's products or services with that Card.
  3. Your Card Account Agreement Does not Change
    The Account Terms between you and BPPR regarding your Card do not change when you add an eligible Card to the Wallet and will continue to govern any Cards enrolled in the Wallet. Nothing in these Terms and Conditions supersedes, replaces, or modifies your Cardholder Terms. Any applicable interest, fees, and charges to your Card will also apply when you utilize the Wallet to access your Card. When your Card is enrolled in the Wallet, your Device will be deemed a Card for the purposes of the Cardholder Terms. While BPPR does not charge you any fees for adding an eligible Card to the Wallet, the Wallet provider or other third parties (such as wireless carriers, data service providers, and other Service Providers) may charge you service fees in connection with your use of the Wallet. You expressly agree that You are responsible for all such fees, limitations, and restrictions.
  4. BPPR is Not Responsible for the Wallet
    BPPR is not the provider of the Wallet, and we are not responsible for providing the Wallet service to you. We are only responsible for supplying information securely to the Wallet provider to allow usage of the Card in the Wallet. We are not responsible for any failure of the Wallet, for any errors, delays caused by or the inability to use the Wallet for any transaction. We are not responsible for the performance or non- performance of the Wallet provider or any other third parties regarding any agreement you entered into with the Wallet provider or associated third-party relationships that may impact your use of the Wallet.
  5. Privacy
    Your privacy and the security of your information are important to us. BPPR’s Privacy Notice applies to using your Card in the Wallet. This Notice is available online at http://www.popular.com/en/privacy/. You agree that we may collect, transmit, store, and use technical, location, login or other information about you and your use of the Cards through a Wallet. You acknowledge that: (i) the Wallet Provider, as well as the Wallet Provider's subcontractors, agents and affiliates, or other third parties supporting that Wallet and (ii) the applicable payment network branded on your Card (e.g., MasterCard International Incorporated and its subsidiary Maestro, or Visa, U.S.A., Inc. and its subsidiary Interlink), as well as such network's subcontractors, agents and affiliates, will have access to certain details of your transactions with merchants using your Cards through the Wallet. We will use, share, and protect your personal information in accordance with our privacy policy applicable to your Card account. You acknowledge that the use and disclosure of any personal information (including biometric information) provided by you directly to a Wallet Provider, the applicable payment network branded on your Card or other third parties supporting that Wallet, will be governed by that party's privacy policy and not by our privacy policy.
  6. Transaction History
    You agree and acknowledge that the transaction history displayed in the Wallet solely represents our authorization of your Wallet transaction and may not reflect complete information about the transaction, nor any post-authorization activity, including but not limited to clearing, settlement, foreign currency exchange, reversals, returns or chargebacks. Accordingly, the purchase amount, currency, and other details for the Wallet Provider's transaction history in connection with use of your Card in the Wallet may be preliminary and/or incomplete and may not match the transaction amount that ultimately clears, settles, and posts to your Card's billing or monthly statement, which shall be deemed the prevailing document.
  7. Keep your information secured
    You agree to protect and keep confidential your user ID, passwords, and all other credentials required to log in to your Device and make purchases with your Card using a Wallet. If you share these credentials with others, they may be able to access your Wallet, make transactions with your Card, or obtain your personal information. Before registering for a Wallet, you must ensure that only your credentials and fingerprints are registered on your Device, as these will then be considered authorized to make transactions related to your Card. If the fingerprint or credentials of another person are used to unlock your Device or make transactions, these will be deemed to be authorized by you. You will be responsible for all transactions using your Device regardless of whether the credentials used were yours or another person's. If your Device is lost or stolen, or if you believe someone else has used or has discovered your Wallet login/authorization credentials, or if the security of your Card or Device has been otherwise compromised, immediately notify us at the number printed on the back of your Card. You must also inform us immediately if you believe there is an error in your account or suspect fraud with your Card.
  8. Wallet Provider Data Security
    We do not control the privacy and security of your information that might be collected, used, disclosed, shared, retained, or deleted by the Wallet Provider or third parties supporting the Wallet. Wallet Providers or other third parties supporting them might collect, use, disclose, share, and retain information about you in connection with the Wallet. The Wallet Provider and such third parties are responsible for the security of this information, which will be governed by the respective party’s terms and privacy policy. The BPPR Privacy Notice will not govern it. We are not responsible for any loss, injury, or other harm you suffer in connection with the Wallet Provider or other third-party’s collection, use, disclosure, sharing, retention, or deletion of your information. We are also not responsible if a security breach affects any information stored in or sent from the Wallet.
  9. Removing Your BPPR Card from the Wallet
    To remove a Card from the Wallet you should contact the Wallet Provider.
  10. Governing Law and Disputes
    The same laws that govern your account relationships with BPPR, as explained in each Account Terms, as applicable, shall govern these Terms and Conditions. If any clause contained in this Agreement is declared null and void or illegal, then the remaining provision will maintain the full force and effect. Disputes arising out of or relating to these terms will be subject to the dispute resolution procedures disclosed in each of your Account Terms, as applicable. The Terms of this Section 9 will survive termination of these Terms and Conditions.
  11. Suspension; Cancellation
    We reserve the right for any reason to discontinue our participation in a Wallet. Except as otherwise required by applicable law, we may block, restrict, suspend or terminate your use of any Card in a Wallet at any time without notice and for any reason, including if you violate these Terms and Conditions or any of your Account Terms, as applicable, if we suspect fraudulent activity or as a result of the cancellation or suspension of your Card account. At any time, at our sole discretion and without prior notice, we may expand, reduce, or discontinue the type and/or amounts of transactions in dollars permitted using a Card in the Wallet or change the enrollment process. You agree that we will not be liable to you or any third party for any block, suspension, cancellation or termination of your use of any Card.
  12. Ending or Changing these Terms
    Except as otherwise required by law, we may, at our sole discretion change these Terms and Conditions, and modify or cancel the eligibility to use your Card with a Wallet service at any time, without notice. You cannot change these Terms and Conditions but you can terminate them by removing your Card from the Wallet. We reserve the right to refuse any transaction for any reason.
  13. Digital Version of Your Card in a Wallet
    A DIGITAL VERSION OF YOUR CARD IS LICENSED, NOT SOLD, TO YOU FOR USE ONLY UNDER THE TERMS AND CONDITIONS OF THESE TERMS AND CONDITIONS. BPPR RESERVES ALL RIGHTS NOT EXPRESSLY GRANTED TO YOU.

    You are granted a non-exclusive, non-sublicensable, non-transferable, personal, limited license to add and use your Card on your Device solely in accordance with these Terms and Conditions.
  14. Notices
    We can provide you notice regarding changes to these Terms and Conditions or to send alerts regarding the use of your Card in the Wallet through our website, through email, to your telephone or mobile number (call or text) or to your physical or postal address you have provided to us as part of your client relation or that we have obtained from other sources including credit agencies. You agree to update your contact information with us when it changes.
  15. Limitation of Liability; No Warranties
    YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE USE OF ANY CARD IN THE WALLET IS AT YOUR SOLE RISK. WE ARE NOT AND SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR INJURY OR FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING FROM OR RELATED TO YOUR ADDING YOUR CARD TO A WALLET OR YOUR ACCESS OR USE OF A WALLET. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS) AS TO ANY AND ALL WALLETS AND ALL INFORMATION, PRODUCTS AND OTHER CONTENT INCLUDED IN OR ACCESSIBLE FROM THE WALLETS. WE, ON BEHALF OF OURSELVES AND OUR AUTHORIZED REPRESENTATIVES, DO NOT WARRANT AGAINST INTERFERENCE, DELAY, INTERRUPTION OR DISRUPTION WITH YOUR USE OF ANY CARD IN CONNECTION WITH A WALLET. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY A WALLET PROVIDER, ANY OF ITS AUTHORIZED REPRESENTATIVES OR ANY THIRD PARTY WILL CREATE ANY WARRANTY. This Section 14 will survive any termination of these Terms and Conditions.
